Registration of an ALC
Registration of an ALC in Lviv (an additional liability company) is very similar to the registration of an LLC.
ALC can have from 2 to 50 founders. The founders can be both individuals and legal entities. The profit is distributed among the participants in proportion to their shares in the authorized capital. Liability to creditors is not limited to equity. The founders bear additional responsibility with their money in proportion to their shares in the authorized capital.
To register the founders of an ALC, individuals, the following list of documents must be provided:
- passport, tax identification number and, if available, an extract from the USR on the registration of an individual entrepreneur.
Founders, legal entities, must prepare the following documents:
- charter, extract from the USR, a certificate from statistics;
- passport and identification code of the director and founders.
The meeting of the company's members is the supreme governing body. Decisions are made by a majority vote of the founders. The number of votes is distributed in proportion to the number of shares in the authorized capital. The executive body can be either one person or a collegial body.
Please note that the registration of an ALC requires the presence of a chief accountant. You can conclude a contract with companies that provide accounting services or hire your own accountant.
